By accessing our website or engaging our agency for branding, website development, SEO, or digital strategy, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue use of our site and services.

1. Scope of Services

Drag Digital operates as a premier digital agency providing custom website design, web development (specializing in Shopify and WordPress), branding, search engine optimization (SEO), and digital strategy.

  • Project Proposals: Specific deliverables, timelines, milestones, and costs will be outlined in a separate, customized Service Agreement or Statement of Work (SOW) for each client.

  • On-Demand Teams: We reserve the right to utilize specialized talent from our internal network of digital subsidiaries to efficiently execute project milestones.

2. Intellectual Property Rights

Unless otherwise explicitly stated in your individual contract:

  • Our Property: The original content, features, custom code patterns, layout designs, and branding of the Drag Digital platform itself are the exclusive property of Drag Digital and are protected by international copyright and trademark laws.

  • Client Property: Upon final payment receipt, ownership and intellectual property rights of the specific custom assets, websites, and deliverables developed for you will transfer fully to you.

  • Portfolio Display: Drag Digital retains the right to showcase completed project designs, case studies, and website builds within our digital portfolio, marketing channels, and social proof sections unless a non-disclosure agreement (NDA) states otherwise.

3. Client Responsibilities & Account Provision

To maintain a fast and efficient launch timeline, you agree to:

  • Provide accurate, current, and complete information regarding your business requirements.

  • Timely provide necessary digital assets, high-resolution imagery, copy, login access, or liquid tags required for product integrations.

  • Acknowledge that delays in providing feedback or required assets will result in extended delivery timelines.

4. Payment Terms, Billing, and Fees

  • Payment Structures: Fees for our agency services are billed based on the structured milestones detailed in your project contract (e.g., upfront deposits, milestone installments, or recurring retainers).

  • Late Payments: Failure to make payments on time may result in a temporary halt to all active web development, design iterations, or strategy implementation until the balance is resolved.

  • Refund Policy: Due to the custom, resource-intensive nature of digital agency, design, and development work, payments made for completed milestones or initiated design sprints are generally non-refundable.

5. Third-Party Platforms and Tools

Our website builds often integrate third-party platforms, open-source software, plugins, or hosts (such as Shopify, WordPress, specialized themes, hosting servers, or custom builders).

  • Drag Digital is not responsible for any independent updates, code breakages, fee increases, or terms violations caused directly by these external third-party platforms once a site is handed over.

  • You retain full, ultimate control over your static layout elements and administrative accounts.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Drag Digital, its subsidiaries, directors, or employees shall not be liable for any indirect, incidental, special, or consequential damages resulting from:

  • Your use or inability to use our digital assets or website services.

  • Any unexpected downtime, data loss, server errors, or security breaches affecting third-party hosting platforms.

  • Fluctuations in search engine rankings (SEO) or business conversion rates, as digital market factors shift dynamically.

 

7. Termination of Services

Either party may terminate a project or active engagement according to the cancellation clauses outlined in your individual Service Agreement. Upon termination, you are responsible for paying for all hours logged and development milestones successfully completed up to the effective termination date.
